WineView Terms of Service

Last updated: October 1, 2026

These Terms of Service govern access to and use of the WineView website, web application, Business Dashboard, Member Portal, and related services (together, the “Services”). The Services are provided by WineView Inc., a Delaware corporation with offices at 2200 Wilson Blvd, Suite 102, PMB 8, Arlington, VA 22201 (“WineView,” “we,” “us,” or “our”).

WineView provides software for businesses that operate clubs, memberships, recurring billing, orders, rewards, inventory, and related activities. In these Terms, a “Merchant” is a business using the Services to operate its business. “Authorized Users” are people permitted to act on a Merchant’s behalf. References to a Merchant include acts of its Authorized Users within their authority but do not make them personally responsible for the Merchant’s payment or indemnification obligations. A “Member” is a Merchant’s customer or club member. “You” refers to the person using the Services and, where applicable, the business that person is authorized to represent. Provisions expressly addressed to Merchants apply to their business use, not to Members merely because they join a Merchant’s club.

1 Acceptance and other agreements

You agree to these Terms when you accept them through a registration, checkout, or other process that presents them for acceptance, or when you enter into a written agreement incorporating them. If you accept on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not register for or use Services that require acceptance.

A Merchant’s separately executed sales agreement, order form, special terms, fee schedule, statement of work, and any data processing agreement together constitute its “Merchant Agreement.” The Merchant Agreement controls over these Terms in the event of a conflict concerning the subject it covers. Any order of precedence within the Merchant Agreement continues to apply. Publishing these Terms does not amend an existing signed agreement or create new charges under it.

Merchants’ club terms, product terms, and checkout disclosures govern their sales to Members, subject to applicable law. They do not modify WineView’s obligations without our agreement. Our Privacy Policy at https://www.wineview.com/privacy describes personal information handling; accepting these Terms is not a substitute for any separate privacy or marketing consent required by law.

2 Eligibility and accounts

You must be at least 18 and able to enter into a binding agreement to create an account. Alcohol-related memberships, purchases, and deliveries are limited to people who meet the applicable legal drinking age, including age 21 in the United States. Merchants remain responsible for legally required age and identity verification and for restrictions on alcohol sales and delivery.

Provide accurate account information and keep it current. Protect your credentials, use only accounts and permissions you are authorized to use, and promptly notify support@wineview.com of suspected unauthorized access. Merchants are responsible for assigning and removing staff access and for activity they authorize through their accounts. Do not share access in a way that bypasses account permissions or security controls.

WineView Text Alerts

By opting in, you agree to receive recurring automated text messages from WineView about your wine club memberships with the wineries you join, including pickup and shipping updates, release reminders, payment notices, and offers from those wineries. Consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply HELP for help or STOP to cancel at any time. Support: support@wineview.com. Carriers are not liable for delayed or undelivered messages. You must be 21 or older to enroll.

3 Access to the Services

Subject to these Terms and the Merchant Agreement, WineView grants Merchants a limited, nonexclusive, nontransferable right to use the Services for their authorized business operations. Members may use the Services to interact with participating Merchants and manage their own memberships and transactions. You may not resell, sublicense, or distribute access without our written consent.

We host and maintain the Services and provide the services and support included in the applicable agreement. Availability can be affected by maintenance, outages, security events, and third-party systems. Any committed service levels, implementation milestones, or support arrangements must be set out in the applicable agreement. Future features, roadmap discussions, and estimates do not become contractual commitments unless expressly agreed in writing.

4 Merchant responsibilities and alcohol sales

The Merchant is the seller of record for products and services it sells through the Services and is responsible for its relationship with its Members. WineView provides technology and does not acquire title to or itself sell the Merchant’s alcohol or other products through the Merchant’s club.

Each Merchant is responsible for:

Maintaining the licenses, permits, and other authorizations required for its business, products, sales, and destinations

Complying with alcohol, age-verification, shipping, advertising, consumer-protection, subscription, privacy, and other laws applicable to its activities

The accuracy of its descriptions, prices, inventory, benefits, promotions, pickup and shipping information, and customer-facing policies

Obtaining and retaining required authorizations for one-time and recurring charges, stored payment methods, communications, and use or import of Member data

Fulfilling orders and club benefits, handling customer service, and administering cancellations, returns, refunds, and payment disputes

Maintaining its third-party accounts and integrations and reviewing settings and records for accuracy

Merchants are responsible for determining, reporting, and paying taxes arising from their sales, including applicable sales, use, excise, and alcohol taxes, except to the extent applicable law requires WineView or another provider to perform a particular tax function. Tax or compliance tools do not relieve a Merchant of its own obligations. WineView does not provide legal, tax, or accounting advice.

5 Merchant fees and billing

Agreed pricing

The Merchant Agreement determines the Merchant’s transaction rates, any Member-facing fee allocation, volume tiers, minimum or recurring charges, migration and onboarding fees, deposits, billing start date, and other commercial terms. Rates negotiated with one Merchant do not apply to other Merchants. A public pricing page does not override a signed Merchant Agreement.

Any adjustment based on actual processing volume must follow the calculation and adjustment terms of the applicable Merchant Agreement. A change to a posted price does not by itself change a Merchant’s agreed rate for its existing contract term. Renewal pricing and other amendments are handled under the applicable agreement.

Transaction and Member-facing fees

Where provided in the Merchant Agreement and payment authorization, WineView’s transaction fees are collected at the time a transaction is processed. The agreed fee allocation may split charges between Merchant and Member, allow the Merchant to absorb the Member-facing portion, or allow a permitted charge to be passed to the Member after coordination with WineView.

The Merchant must disclose the total price, required fees, recurring billing terms, and applicable taxes and shipping charges clearly and at the time required by law before the Member authorizes the purchase or subscription. Where applicable law requires all-in pricing, mandatory fees must be included in advertised and displayed prices rather than first disclosed at checkout. Merchants must comply with applicable surcharge, payment-network, and processor requirements. A fee allocation election does not authorize undisclosed charges or a change to an existing Member’s payment authorization.

If the Merchant Agreement specifies a separate card-on-file transaction rate that replaces the standard Merchant transaction rate, that replacement applies only to the transactions covered by the agreement. These Terms do not establish an additional or duplicate card-on-file fee.

Deposits and additional services

A deposit, migration charge, or onboarding charge is payable and refundable as stated in the Merchant Agreement and as required by law. The agreement determines whether a deposit is credited toward another charge. These Terms do not create an additional deposit or make every payment nonrefundable.

Custom development requires a separate written scope and agreed pricing. Additional implementation calls, priority support, or other services outside the included scope may be charged only under an applicable written agreement or an accepted quote. Included support and services remain governed by the Merchant Agreement.

Third-party charges and billing questions

Merchants are responsible for fees they incur under their own agreements with payment processors, POS providers, shipping services, and other integration providers. These charges are separate from WineView’s fees unless expressly included in the Merchant Agreement. Contact support@wineview.com promptly with billing questions and provide the relevant transaction or invoice information. No billing inquiry procedure in these Terms limits a right provided by applicable law.

6 Onboarding and implementation

Merchants must cooperate with implementation by supplying accurate data, completing agreed checklists, providing authorized access to systems and personnel, and coordinating with their prior providers. Payment information must be transferred through an authorized processor or other approved secure migration process; do not send full payment card details or account passwords through ordinary support messages.

Go-live dates and first club-run dates depend on the agreed milestones, third-party readiness, and the Merchant’s timely cooperation. The parties should document a revised implementation date when dependencies change.

Standard onboarding delay and cancellation charges

The following standard charges apply to Merchants when these Terms are accepted as part of their service agreement, subject to applicable law and any different provision expressly agreed in a separately signed Merchant Agreement. These charges do not apply to Members.

Missed or unprepared onboarding call: A missed onboarding call or failure to bring the required onboarding items results in a charge equal to 25% of the initial deposit specified in the Merchant Agreement

Go-live delay: If the Merchant postpones or misses its agreed go-live date, the charge is $75 to $100 for each week of delay, with the rate within that range determined by WineView

Repeated go-live changes: If the Merchant moves the target go-live date more than twice, WineView may require partial or complete repeat onboarding and charge a corresponding partial or full onboarding fee, at WineView’s discretion, up to the applicable onboarding fee agreed for that Merchant

Missed or postponed first club run: If the Merchant postpones or misses its agreed first club run, the charge is 50% of WineView’s expected fee revenue from that run

Inactive onboarding: During onboarding, after four weeks without communication from the Merchant or without booking the initial onboarding meeting, WineView may charge a partial or full onboarding fee, at WineView’s discretion, up to the applicable onboarding fee agreed for that Merchant

Early cancellation: If the Merchant cancels its agreement during the initial one-year term, the charge is 50% of WineView’s expected fee revenue from the club runs remaining in that original term, subject to the termination rights in the Merchant Agreement

For these calculations, “expected fee revenue” means WineView’s projected fees, not the Merchant’s gross club sales. For a first club run, expected fee revenue is calculated by multiplying the applicable agreed WineView transaction-fee rate or rates by projected annual club processing revenue and dividing by the planned number of club releases for that year. For early cancellation, the calculation uses the applicable agreed rates and projected processing revenue for the club runs remaining in the original term. The relevant projections, rates, release schedule, and term dates must be established in the Merchant Agreement or another written record agreed by the parties.

WineView will identify the triggering event, applicable rate or amount, calculation inputs, and any partial or full onboarding charge in writing before collecting the charge. The partial or full onboarding amount cannot exceed the applicable agreed onboarding fee. These charges remain subject to applicable law; nothing here authorizes recovery of the same loss more than once where prohibited by law.

7 Payments refunds and payouts

The Services use third-party payment processing, including Stripe. Payment processing, payment-method eligibility, settlement, disputes, and payout availability are subject to the applicable processor agreements and legal requirements. A Merchant must complete required processor onboarding and maintain a valid authorized payout account.

Merchants are responsible for refund and chargeback obligations arising from their sales, subject to the applicable processor and Merchant Agreements. A Member should contact the Merchant about the underlying purchase, delivery, cancellation, or refund. Nothing in these Terms limits a Member’s statutory rights or rights to dispute a transaction with a payment provider.

Refund levels, disputes, fraud concerns, account reviews, and legal or processor requirements can affect payout timing. Any adjustment by WineView to a Merchant’s payout schedule must be authorized by the applicable agreement and permitted by law and the processor. The availability and cost of expedited or instant payouts depend on eligibility and the agreed terms. These Terms do not guarantee a particular settlement time, create an independent right to hold funds, or replace the processor’s requirements.

8 Member purchases and recurring memberships

Before joining a club or making a purchase, review the Merchant’s identity, total price and fees, billing frequency, renewal terms, minimum commitment, cancellation process, fulfillment terms, and refund policy. The Merchant is responsible for providing these disclosures and obtaining the required agreement before charging you.

Your payment authorization is limited to the transaction or recurring arrangement you accept. Material changes to pricing or recurring charges must be disclosed and authorized as required by law. Neither these Terms nor simply holding a WineView account authorizes every Merchant to charge your payment method.

Use the cancellation process described when you enrolled, the available membership controls, or contact the Merchant to request cancellation. Contact support@wineview.com if you need help identifying or reaching the Merchant through the Services. Deleting a WineView login or unsubscribing from marketing messages does not by itself cancel an underlying club membership; cancellation and any remaining obligations are governed by the Merchant’s disclosed terms and applicable law. Merchants must provide legally required cancellation methods and honor valid cancellation requests.

9 Merchant term renewal and termination

The Merchant Agreement specifies the service term, renewal terms, notice requirements, and termination rights. Where it provides for a one-year initial term and automatic renewal unless at least 60 days’ notice is given, those provisions govern that Merchant’s business subscription. Each Member’s club subscription is governed separately by the terms disclosed by the Merchant and by applicable consumer cancellation and renewal protections.

The standard early-cancellation charge in Section 6 applies when these Terms form part of the Merchant’s agreement, subject to the controlling Merchant Agreement and its termination rights, and only to the extent enforceable under applicable law. Ending use of the Services does not, by itself, end a fixed-term Merchant commitment or cancel amounts already due. These provisions do not create a fixed-term commitment or cancellation charge for a Member merely using the Member Portal.

Upon termination, access ends as provided in the applicable agreement. Merchants should request any necessary data export and coordinate pending orders, refunds, and Member communications before access ends. Any data return, deletion, or transition services are governed by the Merchant Agreement, applicable data processing terms, our Privacy Policy, and law. We do not promise indefinite storage after termination. Provisions that by their nature should survive, including accrued payment obligations, ownership, confidentiality, and applicable dispute and liability provisions, continue to apply.

10 Third-party integrations

The Services may connect with third-party providers, including POS, payment, shipping, and compliance services. You are responsible for reviewing and accepting the provider terms that apply to the integrations you enable. Merely accepting these Terms does not represent acceptance of an unidentified third party’s future agreement.

Enabling an integration authorizes the data exchange reasonably necessary for that connection, subject to the permissions you grant, applicable privacy notices, and law. You must have authority to provide the data and access involved. Third-party services remain subject to their own terms and privacy practices and may change, become unavailable, or require separate fees. WineView does not control third-party services and is responsible for its own obligations under the applicable agreement and law.

11 Your data and privacy

You retain the rights you have in the information and content you provide to the Services. You grant WineView the limited rights needed to host, process, transmit, and display that material to provide the Services, carry out your authorized instructions, and meet applicable legal obligations. You must have the rights and permissions needed for those uses.

Merchants determine how they operate their clubs and use their Member information. Where WineView processes personal information on a Merchant’s behalf, the applicable data processing terms and law govern that processing. WineView also processes certain information for its own purposes, as explained in the Privacy Policy. A Merchant’s agreement with WineView does not waive its Members’ privacy rights.

Where permitted by the applicable agreement and law, WineView may use aggregated or de-identified information for service analysis and improvement. Information is not treated as de-identified merely because a name is removed. This provision does not authorize use or disclosure of identifiable Member data beyond the applicable agreement, Privacy Policy, and law.

12 Acceptable use and intellectual property

WineView and its licensors retain ownership of the Services, software, designs, documentation, trademarks, and other WineView materials. The rights granted here do not transfer ownership of those materials or of your own data.

You must not misuse the Services, including by accessing another person’s information without authorization, interfering with security or availability, introducing malicious code, bypassing access controls, using the Services for unlawful or deceptive activity, or infringing another person’s rights. You may not copy, distribute, reverse engineer, or create derivative works from protected portions of the Services except with our permission or to the extent a restriction is prohibited by law. Do not disclose or exploit WineView’s confidential information without authorization.

13 Confidential business information

WineView and Merchants may receive nonpublic business, technical, or financial information from one another. Each recipient must use such information only to perform the applicable agreement, protect it with reasonable care, and disclose it only to people or service providers who need it for that purpose and are subject to appropriate confidentiality duties.

These restrictions do not apply to information the recipient can establish was lawfully known without restriction, independently developed, received lawfully from another source, or made public without a breach. A recipient may disclose information when legally required and, where permitted, give the other party notice. The duration and any additional confidentiality protections in the Merchant Agreement control. Personal information remains subject to applicable privacy obligations.

14 AI features and generated content

Some features use artificial intelligence to assist with reporting, registration, data import, answers, or other tasks. AI-generated outputs can be incomplete, inaccurate, or inappropriate for a particular situation. Review important outputs against the underlying records before relying on them, contacting Members, changing account settings, or making business decisions.

You are responsible for instructions and data you submit and for approving actions within your authority. Do not submit information you are not authorized to share. AI outputs do not replace professional advice, required age or identity checks, or a Merchant’s legal responsibilities. Personal information used with these features is subject to the Privacy Policy and applicable data processing terms.

15 Suspension and compliance review

Subject to the Merchant Agreement and applicable law, we may restrict or suspend affected access when reasonably necessary to address unlawful use, a material breach, an immediate security risk, unauthorized access, or a legal or processor requirement. We may also suspend for nonpayment where the applicable agreement permits it. We will provide notice and an opportunity to address the issue when practicable, unless doing so would be unlawful or would increase the risk.

Any audit right in a Merchant Agreement applies according to that agreement. Requests for compliance information must be reasonably related to the Services and handled consistently with applicable confidentiality, privacy, and security obligations.

16 Disclaimers and limits of liability

Except for express commitments in the applicable Merchant Agreement and rights that cannot lawfully be excluded, the Services are provided “as is” and “as available.” To the extent permitted by law, WineView disclaims implied warranties of merchantability, fitness for a particular purpose, and noninfringement. We do not warrant uninterrupted or error-free operation or a particular revenue, membership, or business outcome.

Subject to the applicable Merchant Agreement and to the extent permitted by law, WineView is not liable for indirect, consequential, special, incidental, or punitive damages arising from Merchant business use of the Services. This exclusion includes lost profits only to the extent they constitute indirect or consequential damages. Any agreed monetary liability cap or different allocation of risk is governed by the Merchant Agreement.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, willful misconduct, or any other liability that cannot lawfully be excluded or limited. Consumer statutory rights and remedies remain unaffected, and a disclaimer or limitation applies only to the extent permitted by applicable law.

17 Merchant indemnification

Subject to any different allocation in the Merchant Agreement, a Merchant will defend and indemnify WineView against third-party claims and resulting damages, legally indemnifiable penalties, and reasonable defense costs arising from the Merchant’s unlawful sale or fulfillment of products, failure to meet its tax obligations, infringement caused by material it supplies, or material breach of these Terms. This obligation does not apply to the extent a claim results from WineView’s own breach, negligence, or willful misconduct.

WineView will provide prompt notice of a covered claim and reasonable cooperation at the Merchant’s expense. The Merchant may control the defense with qualified counsel but may not settle a claim without WineView’s prior written consent unless the settlement is fully funded by the Merchant, completely releases WineView from the covered claim, and imposes no admission of fault, payment obligation, restriction, or other obligation on WineView. This business indemnity does not apply to a Member merely using a club account.

18 Governing law and disputes

Except as otherwise provided in the Merchant Agreement, Delaware law governs these Terms, without applying conflict-of-law rules that would select another jurisdiction’s law. This choice does not deprive consumers of mandatory protections under the law that applies to them or override a mandatory legal requirement. Any dispute procedure agreed in a Merchant Agreement continues to apply.

Please contact us using the details below about a dispute so we can try to resolve it. This request does not prevent you from exercising a legal remedy or meeting a filing deadline.

19 Changes notices and general terms

We may update these Terms and will identify the updated date. For material changes affecting existing users, we will provide reasonable advance notice, except where earlier implementation is required by law or reasonably necessary to address a security or abuse risk, and will obtain acceptance where required. Changes apply prospectively and do not amend a signed Merchant Agreement except through its agreed amendment process. A notice of new terms alone does not authorize new fees, revive a canceled subscription, or waive rights concerning an earlier dispute.

We may send service notices to the email address associated with your account or through the Services. Keep your contact information current. Formal notices under a Merchant Agreement must follow that agreement’s notice provisions. Electronic acceptance and notices are effective to the extent permitted by law.

These Terms and the applicable written agreements constitute the agreement for the subjects they address. If a provision is held unenforceable, the remaining provisions remain effective to the extent permitted by law. A failure to enforce a provision is not a waiver. Nothing here creates a partnership or employment relationship between WineView and a Merchant or Member.
